1. Who we are and what this covers

Devign Academy is operated by Devign LLC ("Devign", "we", "us"), a limited liability company registered in the State of Wyoming, United States, at 5830 E 2nd St, Ste 7000 #23016, Casper, WY 82609, United States. These Terms govern your use of learning.devignlb.com (the "Site"), the online courses on it, their videos, lessons and quizzes (the "Courses"), and the subscription that unlocks them (together, the "Service").

You accept these Terms when you create an account. When you subscribe, these Terms and the order details shown at checkout form the contract between you and us, and we send you a confirmation of it by email.

2. Eligibility

You must be at least 18 years old to use the Service. The Courses are made for creators who broadcast on TikTok LIVE, which has its own minimum age and eligibility requirements.

You are responsible for making sure that your use of the Service is lawful where you live.

3. Accounts

There are two ways to use the Site:

• Everyone can create an account with an email address and a password. We send a link to confirm the email address, and a link to reset the password if you forget it. You must confirm your email address before you can subscribe.
• Creators who use the Devign Creator App can open the Site from the app with a one-time sign-in link. Creators who are members of the Devign agency get every Course at no cost for as long as their membership is active, and their progress is the same in the app and on the Site. If a membership ends, this free access ends with it. Devign Points (DP) that the Devign Creator App gives for finished courses belong to the app and its own terms: they are not sold on this Site, and a subscription does not earn them.
• You are responsible for keeping your password private and for activity on your account. Tell us straight away if you think someone else has access to it.

4. Prices, payment and how the contract is made

Without a subscription you can watch the first lesson of every Course for free. A subscription costs US$5.00 per month plus VAT where it applies. If you live in the European Union, we add VAT at the rate of your country: in Germany, for example, you pay US$5.95 a month (19% VAT). The Site and the checkout page show you the total, VAT included, before you order. Outside the EU we currently add no VAT or sales tax. Your bank may charge its own fee for a payment in US dollars; that fee is not ours.

The subscription gives access to every Course on the Site, to the Courses we add later, and to every lesson and quiz in them, for as long as it is active. It renews automatically every month until you cancel. Payment is taken by our payment processor, Stripe; we never see or store your card details. The invoice for each payment is linked in the emails we send you and under Manage subscription on your account page.

How the contract is made: you choose Subscribe on the Site. On the checkout page you enter your payment details, confirm that you accept these Terms and that you want the subscription to start straight away, and press the button that places the order with an obligation to pay. The contract is made when the checkout confirms your order. Until you press that button you can correct your details on the checkout page, or leave it. The contract is concluded in English. We keep a record of your order, and the date at the top of these Terms identifies the version you accepted; the confirmation email we send you repeats the key terms.

Refunds: you get money back only (a) when you withdraw within 14 days of subscribing (section 6), which we offer to every subscriber wherever you live; (b) when you were charged in error, for example twice, in which case we refund the error; (c) when the Service does not work as this contract promises and we cannot fix it (section 8); and (d) where the law of the country you live in gives you a right to a refund that cannot be excluded. Outside these cases we do not refund a renewal or part of a month, including when you cancel, stop learning or do not use the Service. Cancelling always stops the next renewal (section 5).

Automatic renewal: before you pay, the Site and the checkout page show you the price, that the subscription renews every month until you cancel, and how to cancel. After each renewal we email you a receipt with the next renewal date and a link to cancel. We never raise the price of your subscription without your express agreement (section 15).

5. Cancelling your subscription

You can cancel at any time, without giving a reason, in any of these ways:

• on the Cancel your subscription page at learning.devignlb.com/cancel. It needs no sign-in: you enter the email address you subscribed with (and your name, if you like) and press Cancel now;
• with Manage subscription on your account page;
• by email to support@devignlb.com.

Cancelling stops the next renewal. You keep access until the end of the month you have already paid for, and you are not charged again. We confirm every cancellation by email straight away, with the time we received it and the date your access ends. Until that date you can change your mind and resume the subscription with Manage subscription on your account page.

Cancelling with immediate effect: if you have an important reason that makes it unreasonable to continue until the end of the paid month, you can choose Immediately on the cancel page and tell us the reason. Within the 14-day withdrawal period we treat it as a withdrawal (section 6) and refund the days you have not used, once you confirm it with the button in our email. After that period, renewal stops at once and, once you confirm it with the button in our email, a person on our team reads your reason and replies by email within 2 working days. We refund the unused part of the month when the reason is one the law recognises, for example a fault we cannot fix (section 8); otherwise your access continues until the end of the paid month and nothing more is charged.

6. Your right of withdrawal

If you are a consumer, you have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day the contract was made, which is the day you subscribed. We give this right to every subscriber, wherever you live, on the terms of this section, even where the law of your country gives you a shorter period or none.

To exercise the right of withdrawal, you must inform us (Devign LLC, 5830 E 2nd St, Ste 7000 #23016, Casper, WY 82609, United States; email support@devignlb.com; WhatsApp +1 307 218 9637) of your decision to withdraw from this contract by a clear statement. The simplest way is the Withdraw from contract page at learning.devignlb.com/withdraw: it needs no sign-in and confirms receipt by email at once. You may also send us an email or a letter, and you may use the model withdrawal form below, but you do not have to.

To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.

Effects of withdrawal: if you withdraw from this contract, we will reimburse all payments received from you without undue delay and in any event not later than 14 days from the day on which we are informed about your decision to withdraw from this contract. We will carry out the reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the reimbursement.

If you requested to begin the performance of the service during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated to us your withdrawal from this contract, in comparison with the full coverage of the contract. At checkout you are asked to confirm that you want your subscription to start straight away. If you did, we keep the price of each day, or part of a day, of the paid period before your withdrawal reached us, VAT included, and refund the rest. If you withdraw before any payment has been taken, nothing is charged and nothing is owed. Your access ends when the withdrawal is processed.

Because the withdrawal page needs no sign-in, anyone could type your address into it. So a withdrawal sent from the page stops renewal at once, and ends the subscription and refunds it once you press the confirmation button in the email we send to that address. Your withdrawal still counts from the moment it reached us.

8. Your statutory rights

If you are a consumer, you have the legal rights that apply to digital content and digital services where you live, and nothing in these Terms limits them. In the European Union they come from Directive (EU) 2019/770 as your country applies it: the Site, the Courses and their updates must conform to this contract and to what you can reasonably expect, for as long as your subscription runs. If they do not, you can ask us to bring them into conformity, and if we cannot or do not do so within a reasonable time, you may be entitled to a proportionate price reduction or to end the contract.

9. Acceptable use

The Courses are for your own learning. You agree not to:

• share your account or sign-in details, or let anyone else watch through your subscription;
• download, record, copy, re-upload, sell or otherwise distribute the course videos, texts or quizzes, or show them to an audience;
• use the Service for fraud, or try to get around payment, access or progress checks;
• scrape the Site, or interfere with, overload or try to gain unauthorised access to our servers or another person's account.

10. What the Courses are, and what they are not

The Courses teach general skills for TikTok LIVE creators. They are information and education, not professional, financial or legal advice. Results depend on you, on your audience and on TikTok, so we do not promise any outcome, such as more followers, viewers, gifts or income.

The Courses, their videos, texts, images and quizzes are our work, or used with permission, and are protected by copyright. While your subscription (or your free access as a Devign agency member) is active, we give you a personal, non-exclusive, non-transferable right to watch them on the Site for your own learning. Nothing else is licensed to you.

Devign is not affiliated with, endorsed by, or sponsored by TikTok. TikTok is a trademark of ByteDance Ltd. TikTok's rules change; you remain responsible for following TikTok's Terms of Service, Community Guidelines and LIVE rules.

11. Availability and changes to the Service

We work to keep the Service available but do not guarantee uninterrupted operation. We may add, update or remove Courses and features, and we may take the Service down for maintenance.

If we change the Service in a way that affects your access or use negatively, and more than in a minor way, we will tell you by email in good time before the change. You may then end your subscription free of charge within 30 days of that notice or of the change, whichever is later, and we refund the part of the price that covers the time after it ends.

12. Suspension and termination

We may suspend or terminate an account that we reasonably believe has been used for fraud, abuse, payment circumvention, sharing or redistributing the Courses, or a serious breach of these Terms, and we will tell you why unless the law prevents it. Where we do so and you hold a paid subscription, we will refund the unused portion unless the account was terminated for fraud.

We may also end a subscription for any other reason at the end of a paid month by giving you at least 30 days' notice by email.

You may stop using the Service at any time and delete your account on your account page (cancel your subscription first), or ask us to delete it (see the Privacy Policy).

13. Disclaimers and liability

Apart from your statutory rights in section 8, which we do not exclude, the Service is provided as it is and as available. To the extent the law allows, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Nothing in these Terms limits liability for death or personal injury caused by negligence, for intent or gross negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, our total liability to you arising out of the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or fifty United States dollars. If you are a consumer in the EU, the EEA or the UK, this limit applies only as far as the law of your country allows.

We are not liable for lost revenue, lost gifts, lost followers, or losses arising from a TikTok outage, policy change, or account action taken against you by TikTok.

14. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Wyoming have exclusive jurisdiction.

If you are a consumer resident in the EU, the EEA, the UK, or Türkiye, nothing in this section deprives you of the protection of the mandatory consumer-protection rules of your country of residence, and you may bring proceedings in your local courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

If something is wrong, please write to us first; most problems are solved within a day. We are not obliged and not willing to take part in dispute resolution proceedings before a consumer arbitration board.

15. Changes to these Terms

We may update these Terms. The date at the top shows the current version, and a new version applies to orders made after that date. For a subscription you already have, we will email you about a change at least 30 days before it applies, and it applies to you only if you agree to it. If you do not agree, your subscription continues on the terms you accepted, and we may then end it as described in section 12. We never raise the price of your subscription without your express agreement.
